Terms of Service

This is the agreement between your business and ArkSlate. We have tried to write it in the language people actually speak, because an agreement nobody can read protects nobody. Sections 11 and 13 limit our liability and require most disputes to go to arbitration — they are the ones to read closely.

1. Who is agreeing

These terms are between ArkSlate, LLC, an Oklahoma limited liability company ("ArkSlate", "we"), and the business that opens the account ("you"). If you accept these terms on behalf of a company, you are confirming you have authority to bind it. You must be at least 18 and legally able to enter a contract.

ArkSlate was previously operated by Frontier Consulting Group LLC. As of the date at the top of this page, ArkSlate, LLC is the operating company, and this agreement — including every account and subscription opened under the earlier name — runs with it. Nothing else about your account, your data, or your pricing changed.

2. The service

ArkSlate is a hosted business platform: point of sale, inventory, scheduling, invoicing, customer records, reporting, and the modules enabled for your industry. We provide it on a subscription, we host it, and we keep improving it. Features may be added, changed or retired; if we retire something you depend on, we will give you reasonable notice and, where we can, a way to get your data out of it.

3. Your account

You are responsible for what happens under your account: keeping credentials secret, using individual logins rather than shared ones, setting appropriate roles, and removing people who leave. Tell us promptly at security@arkslate.com if you believe an account has been compromised. You are responsible for your staff's use of the service as if it were your own.

4. Trials, plans and billing

  • Trial. Where offered, the trial runs for the stated period and requires no card. At the end of it you either choose a plan or the account becomes read-only.
  • Subscription. Plans are billed in advance, monthly or annually, and renew automatically until cancelled. Prices are in US dollars.
  • Cancelling. You can cancel at any time from Settings. Cancellation takes effect at the end of the period you have already paid for; we do not pro-rate partial months, and we do not charge a cancellation fee.
  • Refunds. Subscription fees are non-refundable except where the law requires otherwise, or where we have plainly failed to provide the service — in which case write to us and we will deal with it fairly rather than hide behind this sentence.
  • Price changes. We may change prices with at least 30 days' notice by email to account owners. The new price applies from your next renewal, and you can cancel before it takes effect.
  • Failed payment. If a payment fails we will retry and notify you. After a reasonable grace period the account may be suspended; your data is not deleted during suspension.
  • Taxes. Prices exclude sales and other taxes, which we add where we are required to collect them.

5. Payment processing

Card payments you take from your own customers are processed by Stripe under Stripe's own agreement with you, which you accept when you connect an account. ArkSlate never stores card numbers. Payouts, chargebacks, reserves, and processing fees are matters between you and Stripe; we can help you understand them but we cannot decide them, and we are not a party to your customers' transactions.

Sales tax is yours to get right. ArkSlate calculates tax from the rates and rules you configure, and applies them consistently — but we do not determine what your jurisdiction taxes, at what rate, or whether a particular item or service is exempt. Those rules differ by state, by county, and by what is being sold: labor that is taxable in one place is not in another, and the same job can be taxed differently depending on how it is itemised. We are not a tax service and this is not tax advice. Check your rates with your accountant or your state, and keep them current — filing and remitting what you collect is your responsibility.

We suggest rates and flag when they look out of date; a suggestion is not a determination, and you set the number that actually charges your customer. Oklahoma is a clean example of why we don't guess: municipalities there commonly set local rates in eighths of a percent, so a rate rounded to a whole or half percent can be wrong at nearly every address in the state. ArkSlate does not file your sales tax returns — reports the product generates are an aid to filing, a starting point for you or your accountant, not a filing themselves.

6. Your data

Everything you put into ArkSlate remains yours. You grant us only the license we need to run the service for you: to store it, process it, back it up, display it to the people you authorise, and transmit it to the integrations you turn on. We do not sell it, we do not use it to train AI models, and we do not use it for our own purposes beyond operating and improving the service.

You can export your data at any time in open formats. If your account closes, you have 30 days to export before we delete it — see our Privacy Policy for the retention detail and the records we are legally required to keep for longer.

You are responsible for having the right to the data you put in — including consent to contact your customers by email or SMS where the law requires it.

7. Acceptable use

You agree not to:

  • break the law with it, or use it to help someone else break the law;
  • attempt to reach another business's data, probe the platform's defences, or interfere with its operation — other than a good-faith security report under our disclosure policy;
  • resell, sublicense or white-label the service without a written agreement;
  • send unlawful marketing, or message people who have not consented where consent is required;
  • upload malware, or content you have no right to;
  • place payment card numbers, government identification numbers, or protected health information into free-text fields that were not designed to hold them.

We may suspend an account that is causing harm to the platform or to others, with notice where circumstances allow and immediately where they do not.

8. Regulated industries

Medical. ArkSlate includes configuration and audit tooling for medical settings, but we do not currently execute Business Associate Agreements and are not a HIPAA business associate. Do not place protected health information in ArkSlate on the assumption that it is covered.

Insurance. Agency features assume you hold the licenses your state requires. Documents produced by the product — including ACORD forms you upload and populate — are your responsibility to check before they leave your office.

9. Availability and support

We aim for continuous availability, publish live component checks on our status page, and give notice of planned maintenance where we can. We do not currently offer a contractual uptime guarantee or service credits. When we do, it will be a number published here, and this paragraph will change.

Support is by email at support@arkslate.com during business hours, and faster for anything that has stopped a business from trading.

10. Intellectual property

The software, design, and brand are ours and stay ours. These terms grant you a non-exclusive, non-transferable right to use the service during your subscription, and nothing more. If you send us an idea or a suggestion, we may use it without owing you anything — which is not us being greedy, but the only way we can act on feedback without creating a claim every time we ship something.

11. Disclaimers and limitation of liability

The service is provided "as is". To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

Our total liability arising out of or relating to this agreement is limited to the amount you paid us in the twelve months before the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility. These limits do not apply to your obligation to pay, to either party's fraud or wilful misconduct, or to anything the law does not permit us to limit.

Anything the AI produces is a draft, not an answer. ArkSlate uses automated models to summarise your figures, suggest reorders, draft messages, flag possible fraud, and read uploaded documents. That output can be wrong, incomplete, or confidently mistaken. It is not professional, legal, tax, or accounting advice, and it does not replace your own judgment. You remain responsible for any decision you make using it — read it as a starting point from a fast assistant, not as a finding, and check it against your underlying records before acting on it for anything that involves money, stock, safety, employment, or compliance.

We do not train models on your data, and our providers' API terms do not either.

Some states do not allow certain exclusions, in which case they do not apply to you.

12. Indemnity

You will defend and indemnify us against third-party claims arising from your data, your use of the service in breach of these terms, or your violation of law — and we will do the same for you against claims that the service itself infringes someone's intellectual property. Whichever of us is indemnified will notify the other promptly and cooperate.

13. Disputes

Talk to us first. Most problems are solved by email. Before filing anything, send the details to legal@arkslate.com and give us 30 days to put it right.

Arbitration. If that fails, disputes will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Rules, before one arbitrator, in Oklahoma or by video at the arbitrator's discretion. Judgment on the award may be entered in any court with jurisdiction.

No class actions. Claims must be brought individually, not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions. Either of us may bring a claim in small claims court, and either of us may ask a court for an injunction to protect intellectual property or confidential information.

You can opt out. If you do not want to be bound by the arbitration and class-waiver provisions, email legal@arkslate.com within 30 days of first accepting these terms, saying so. Opting out costs you nothing else in this agreement.

14. Term, suspension and termination

This agreement runs while your account is open. You may close it at any time. We may terminate for material breach that is not cured within 30 days of notice, immediately for unlawful use or conduct that endangers the platform, or on 30 days' notice if we discontinue the service — in which case we will refund any prepaid, unused fees. On termination your right to use the service ends, and the data provisions in section 6 apply.

15. Governing law

Oklahoma law governs this agreement, without regard to its conflict-of-laws rules. Subject to section 13, the state and federal courts located in Oklahoma have exclusive jurisdiction.

16. Changes to these terms

We may update these terms. For material changes we will email account owners at least 30 days before they take effect, and the date at the top will change. If you do not accept a change, cancel before it takes effect; continuing to use ArkSlate after that means you accept it.

17. General

  • Entire agreement. These terms and the Privacy Policy are the whole agreement between us, and replace anything said beforehand.
  • Severability. If a provision is unenforceable, the rest survives.
  • No waiver. Not enforcing something once does not waive it.
  • Assignment. You may not assign this agreement without our consent, except to a successor of your business. We may assign it to a successor of ours.
  • Force majeure. Neither party is liable for delay caused by something genuinely outside its control.
  • Notices. We will email the address on the account; that is valid notice. Write to us at the address below.
  • Independent contractors. Nothing here creates a partnership, agency, or employment relationship.

18. Beta Program

If your account is part of our beta program, the Beta Program Agreement also applies to your use of ArkSlate while you're in it — where it is silent, these terms fill the gap; where it differs, the Beta Program Agreement wins for as long as you're in the beta program.
